1. Introduction

Welcome to Points Life International (“Points Life,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile applications, and any related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Acceptance of Terms

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. We reserve the right to update or modify these Terms at any time. Any changes will become effective upon posting the revised Terms on our website. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes.

3. Eligibility

• You must be at least eighteen (18) years of age to register for an account and use the Service.
• By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms and comply with all provisions herein.
• If you are using the Service on behalf of an organization or entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To access certain features of the Service, you must register for an account (“Account”). When registering, you agree to:

• Provide accurate, current, and complete information about yourself as prompted by the registration form.
• Maintain and promptly update your Account information to keep it accurate and complete.
• Maintain the confidentiality of your Account login credentials and are responsible for all activities that occur under your Account.
• Notify us immediately if you suspect any unauthorized use of your Account or any other security breach.

5. Use of Service

5.1 License

Subject to these Terms, Points Life grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial use.

5.2 Prohibited Activities

• Reverse-engineering, decompiling, or disassembling any portion of the Service.
• Accessing the Service by any means other than through the interfaces provided by Points Life.
• Using the Service to infringe upon or violate the rights of any third party, including privacy, publicity, and intellectual property rights.
• Transmitting any viruses, worms, defects, Trojan horses, or any other malicious code.
• Interfering with or disrupting the integrity or performance of the Service or any third-party data contained therein.
• Violating any applicable local, state, national, or international law or regulation.

6. User Content

“User Content” refers to any text, images, or other materials you upload, post, or display on or through the Service. By submitting User Content, you grant Points Life a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such User Content in connection with providing and improving the Service.

• You are solely responsible for your User Content and the consequences of posting or publishing it.
• You represent and warrant that you own all rights to your User Content or have obtained all necessary rights, licenses, and permissions to grant the rights granted herein.
• Points Life reserves the right, but is not obligated, to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

7. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, are the property of Points Life or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

• “Points Life,” the Points Life logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Points Life or its licensors. You must not use such marks without the prior written permission of Points Life.
• Nothing in these Terms grants you any right, title, or interest in any intellectual property owned by Points Life, its affiliates, or third parties, except for the limited license expressly granted herein.

8. Payment, Fees, and Points

Certain features of the Service may require payment of fees or redemption of loyalty points (“Points”). By purchasing any paid feature or redeeming Points, you agree to the following:

• All fees are in U.S. dollars unless otherwise indicated. Prices and fees are subject to change at any time, at our sole discretion, with notice posted on the Service.
• Payment methods accepted are credit cards, debit cards, or any other method indicated on the Service. By providing payment information, you represent and warrant that you are authorized to use that payment method.
• Points may be earned or redeemed only as described in our Loyalty Program Terms (incorporated by reference). Points have no cash value and cannot be redeemed for cash. Points are non-transferable except as permitted by us in writing.
• We reserve the right to audit your account and loyalty activity. If we determine that Points were credited or redeemed in error, we may adjust your balance accordingly.

9. Third-Party Services and Links

The Service may contain links to third-party websites, services, or integrations. These third-party resources are not under our control, and we are not responsible for their content or practices. Your use of any third-party website or service is at your own risk, and subject to the terms and privacy policies of those third parties.

10. Termination and Suspension

We may suspend or terminate your access to the Service, including any associated accounts, immediately and without prior notice or liability, if:

• You breach these Terms or any other policy or guideline referenced herein.
• We are required to do so by law or a governmental authority.
• We believe it is necessary to protect the rights, property, or safety of Points Life, our users, or the public.
• Your account has been inactive for a prolonged period, as determined at our sole discretion.

Upon termination, the rights and licenses granted to you in these Terms will immediately cease. You must stop using the Service and destroy all materials obtained from it. Termination will not limit any of our rights or remedies at law or in equity.

11. Disclaimers and Limitation of Liability

11.1 Disclaimers

• The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Points Life disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Points Life does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
• Points Life does not guarantee the accuracy, completeness, or usefulness of any User Content or other third-party information. Any reliance you place on such information is strictly at your own risk.

11.2 Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Points Life, its affiliates, officers, directors, employees, agents, or licensors be liable for:

• Any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption arising out of or related to your use or inability to use the Service.
• Errors, mistakes, or inaccuracies of content or outcomes arising from use of the Service.
• Unauthorized access to or alteration of your transmissions or data.
• Statements or conduct of any third party on the Service.

In no event will Points Life’s total liability arising out of or related to these Terms or your use of the Service exceed the amount you have paid to Points Life in the six (6) months preceding the claim, or one hundred U.S. dollars (US $100), whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless Points Life and its affiliates, officers, directors, employees, agents, and licensors (collectively, “Indemnified Parties”) from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with:

• Your breach of these Terms or any applicable law or regulation.
• Your violation of any third-party right, including intellectual property, privacy, or publicity rights.
• Any User Content you submit or make available through the Service.

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising from them will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state or federal courts located in New York County, New York. You and Points Life consent to the personal jurisdiction of such courts and waive any objections to venue.

14. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be illegal, invalid, or unenforceable, that provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of Points Life to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Points Life may freely assign or transfer these Terms, in whole or in part, without restriction.

17. Entire Agreement

These Terms, together with any other agreements or policies referenced herein, constitute the entire agreement between you and Points Life with respect to the Service and supersede all prior or contemporaneous understandings, agreements, or representations, whether written or oral.
